비밀유지계약서

A(이하 “갑”이라 한다)와(과) B(이하 “을”이라 한다)은(는) 다음과 같이 비밀유지계약을 체결한다.

제 1 조 (계약의 목적)

본 계약은 갑·을이 상호 자신의 비밀정보를 제공함에 있어 계약 당사자의 관련 비밀정보를 보호하기 위함을 목적으로 한다.

제 2 조 (비밀의 내용)

본 계약상 비밀정보란 갑·을 간의 업무진행 과정에서 본 계약의 일방 당사자가 상대방에게 제공하거나 상대방 혹은 그 직원으로부터 지득 혹은 취득하는 상대방의 일체의 영업 혹은 기술상의 정보 및 이와 같은 영업 혹은 기술상의 정보에 근거하여 자사가 개발하거나 도출하는 일체의 영업 혹은 기술상의 정보(이하 “비밀정보”라 한다)를 말한다.

이와 같은 비밀정보는 서면, 구두 혹은 기타 방법으로 제공되는 모든 노하우, 공정, 도면, 설계, 실험결과, 샘플, 스펙, 데이터, 공식, 방법, 프로그램, 가격표, 거래 명세서, 생산 코스트, 선전상의 아이디어, 사업정보 등을 모두 포함한다.

제 3 조 (비밀의 표시)

갑·을은 상대방에게 서면이나 서류 형태로 비밀정보를 제공하는 경우 서류상에 비밀임을 알리는 문구(“비밀”)를 명백히 표시해야 하며 서면이나 서류 이외의 형태 즉 구두나 영상 또는 당사자의 시설, 장비 샘플 기타 품목들을 관찰하거나 조사함으로써 비밀정보를 제공할 경우에는 공개 시 상대방에게 본 정보가 비밀에 속한다는 것을 알리고 또한 공개일로부터 30일 이내에 서면으로 비밀임을 알리는 문구를 표시하여 상대방에게 확인시켜야 한다.

제 4 조 (정보의 사용용도 제한)

본 계약의 당사자는 상대방으로부터 제공받은 비밀정보를 관련 계약서에 명시된 본래의 목적에만 사용하여야 하며, 계약의 수행을 위하여 상대방에 관련된 비밀정보를 제3자에게 제공할 경우, 당해 제3자와 별도의 비밀유지계약을 체결하여야 한다.

제 5 조 (정보취급자)

본 계약의 당사자는 상대방으로부터 제공받은 비밀정보를 자사 조직 내 목적상 부합하는 직원들에 한하여 이용하도록 조치하여야 하며 직원 각자에게 비밀유지 의무를 주지시켜야 한다. 또한 상대방이 요구하는 경우 자사의 관계직원들에 대하여 당해 직원이 본 계약상의 비밀유지 의무를 이행하겠다는 내용의 각서를 징구하는 등 상대방이 만족할 수 있는 적절한 조치를 취하여야 한다.

제 6 조 (비밀유지의무의 면제)

본 계약의 당사자는 상대 당사자의 사전승낙 없이는 본 계약의 체결사실이나 내용 및 앞으로 계약 당사자가 추진할 사업내용을 공표하거나 제3자에게 알려서는 아니 된다. 다만, 다음에 해당하는 정보임이 객관적인 증거를 통하여 입증되는 경우는 비밀유지 의무가 없다.

비밀정보의 제공 이전부터 제공받은 당사자가 보유하고 있던 정보.
비밀정보를 제공받은 당사자의 고의 또는 과실에 의하지 않고 공지의 사실로 된 정보.
비밀정보를 제공받은 당사자가 적법하게 제3자로부터 제공받은 정보.
비밀정보를 제공받은 당사자가 비밀정보와 관계없이 독자적으로 개발한 정보.
비밀정보를 제공한 당사자가 공개를 허락한 정보.
관련법규나 정부당국에 의하여 공개가 요구된 정보. 이 경우 사전에 반드시 상대방에게 그 사실을 서면으로 통지하고, 상대방으로 하여금 적절한 보호 및 대응조치를 할 수 있도록 하여야 한다.
천재지변, 화재, 전쟁, 혁명 등의 불가항력적 사유에 의해 비밀정보가 유출된 경우, 유출에 의한 책임을 부담하지 않는다.

제 7 조 (자료의 반환)

본 계약의 당사자는 상대방의 요청이 있으면 아래 각 호에 해당하는 경우, 정보 제공자는 정보 수령자에게 제공한 비밀정보의 반환 또는 폐기를 서면으로 요구할 수 있다.

“본건 업무”가 완료된 경우
“본건 업무”가 중지 혹은 중단된 경우
정보수령자가 본 계약상 의무를 위반한 경우
기타 정보제공자가 필요하다고 판단하는 경우

제 8 조 (권리의무의 양도)

본 계약의 권리와 의무는 상대방의 사전 서면동의 없이는 제3자에게 양도될 수 없다.

제 9 조 (권리의 부존재 등)

① 본 계약상 제공되는 비밀정보에 관한 모든 권리는 제공한 당사자에 속하고 본 계약은 어떠한 경우에도 본 계약상 제공된 비밀정보에 관하여 상대방에게 어떠한 권리나 사용권을 부여하는 것으로 해석되지 않는다.

② 본 계약은 어떠한 경우에도 당사자 간에 향후 어떠한 확정적인 계약의 체결, 제조물의 판매나 구입, 실시권리의 허여(許與) 등을 암시하거나 이를 강제하지 않으며, 기타 본 계약의 당사자가 본 계약상 기술과 관련하여 다른 제3자와 어떠한 거래나 계약관계에 들어가는 것을 금지하거나 제한하지 아니한다.

제 10 조 (내부규정의 준수)

본 계약의 당사자는 본 계약상의 목적을 위하여 상대방의 시설을 방문하거나 이를 이용할 경우, 상대방의 제반 규정을 준수하여야 한다.

제 11 조 (계약의 분리가능성)

본 계약 중 어느 규정이 법원에 의하여 불법, 무효 또는 집행 불가능하다고 선언될 경우, 이는 본 계약의 나머지 규정의 유효성에 영향을 미치지 아니 한다.

제 12 조 (계약의 수정)

본 계약의 수정이나 변경은 양 당사자의 정당한 대표자가 서명한 서면합의로만 이루어질 수 있다.

제 13 조 (손해배상 등)

본 계약을 위반한 당사자는 상대방이 입은 손해를 배상할 의무가 있다. 단, 제 6 조의 단서에 의한 경우에는 그러하지 아니하다.

제 14 조 (계약기간)

본 계약은 체결일로부터 3년간 그 효력을 가진다. 그리고 본 계약은 계약 체결 이전에 이루어진 당사자 간의 구두 또는 서면상의 양해 또는 합의에 우선하며, 양 당사자의 서면 합의에 의해서만 변경될 수 있다.

제 15 조 (수출통제)

양당사자는 본 계약의 체결일부터 다음 사항을 보증한다. 즉, 양당사자는 기밀정보를 군사적 최종 용도를 위해, 또는 군사적 최종 사용자로 하여금 사용, 재수출, 운송 또는 재운송 목적으로 활용할 수 있도록 해서는 안된다. 또한, 양당사자는 제재 대상인으로 하여금 기밀정보를 재수출, 운송 또는 재운송 목적으로 활용할 수 있도록 해서는 안된다.

기밀정보는 화학적, 생물학적 또는 핵무기 또는 해당 무기를 운반할 수 있는 미사일과 연관된 용도를 위해 사용, 재수출, 운송 또는 재운송 되지 않는다. 양사는 자신에 의하여 수출 또는 재수출되거나 국내 또는 해외의 개인 및/또는 사업체에 양도된 기밀정보에 대하여 상대방이 책임을 지지 않음을 이해하고 인정한다.

기밀정보의 사후 판매, 재수출, 운송 또는 재운송이 필요한 경우, 양당사자는 이에 대한 수출 허가를 획득하는 것을 포함하여 U.S. Export Administration Regulations(“EAR”), the U.S. International Traffic in Arms Regulations(“ITAR”), the U.S. sanctions and embargoes administered by the U.S. Department of the Treasury and its office of Foreign Assets Control(“OFAC”) 등 모든 관련 제재규정을 준수해야 할 책임을 부담한다.

제 16 조 (분쟁의 해결)

본 계약의 해석이나 이행과 관련하여 당사자들 사이에 분쟁이나 이견이 발생하는 경우, 당사자들은 상호 협의하여 원만히 해결토록 노력하며, 이러한 분쟁이나 이견이 원만히 해결되지 않는 경우에는 대한민국의 법에 따라 해석되고 이해된다.

분쟁에 관한 합의가 이루어지지 아니할 경우에는 서울중앙지방법원을 합의관할로 하여 소송을 통해 분쟁을 해결하기로 한다.

NON-DISCLOSURE AGREEMENT

This NON-DISCLOSURE AGREEMENT ("Agreement"), effective [ ] ("Effective Date"), is by and between DEEPX CO., LTD., having its principal place of business at 5F, 20, Pangyoyeok-ro 241beon-gil, Bundang-gu, Seongnam-si, Gyeonggi-do, Republic of Korea, 13494 ("DEEPX"), and [Company name] a [Country] Corporation, having its principal place of business at [Address] ("[ ]"); each a "Party", collectively, the "Parties."

Whereas, DEEPX and [---------] wish to enter into confidential discussions which may involve the disclosure by one party ("Disclosing Party") to the other party ("Receiving Party") of Confidential Information. As a condition to each Disclosing Party’s release of Confidential Information, the Parties wish to enter into this Agreement.

In consideration of the mutual covenants herein contained, the Parties hereto agree as follows:

1. Definitions

"Confidential Information" means:

(a) the existence and contents of this Agreement, and
(b) all information that is disclosed by Disclosing Party to Receiving Party in connection with the Purpose and which is:
- (i) marked or identified in writing as "confidential" at the time of disclosure thereof, if disclosed in written or tangible form, or
- (ii) designated at the time of disclosure thereof as confidential and summarized in writing within thirty (30) days after the disclosure, if disclosed in intangible form.

"Purpose" means to explore a potential business opportunity between the Parties.

2. Disclosure Rights and Restrictions

Disclosing Party may disclose Confidential Information to Receiving Party for the Purpose. All Confidential Information remains the sole and exclusive property of Disclosing Party. Receiving Party shall not use Confidential Information except for the Purpose, shall protect it with reasonable care, and shall not disclose it to third parties.

Use Confidential Information only for the Purpose.
Limit use and access to Representatives who need to know for the Purpose.
Ensure such Representatives comply with this Agreement.
Not copy Confidential Information except as necessary for the Purpose.

Receiving Party may disclose Confidential Information if required by law or government order, provided it gives notice to Disclosing Party and seeks protective measures.

Receiving Party may disclose Confidential Information to a third party to carry out the Purpose with written approval and provided equivalent confidentiality obligations are imposed. Receiving Party is liable for third-party breaches.

Each Party represents and warrants that it has the right to make the disclosures.

DEEPX may disclose Confidential Information to DEEPX Subsidiaries or approved third parties subject to equivalent confidentiality obligations. "DEEPX Subsidiaries" means any entity DEEPX controls or owns more than fifty percent (50%) voting shares or board representation.

3. Exceptions

Section 2 obligations do not apply to information the Receiving Party can prove:

is or becomes public without breach;
was already in its possession without confidentiality obligations;
is received from a third party without confidentiality obligations;
is independently developed without using Confidential Information.

4. Further Restrictions

Receiving Party shall not:

modify, reverse engineer, or decompile materials;
remove or alter proprietary markings.

5. Return or Destruction of Confidential Information

Upon termination, written request, or completion of the Purpose, Receiving Party shall return or destroy all Confidential Information within thirty (30) days and provide written confirmation if requested.

6. No License and No Warranty

Nothing grants rights under trademarks, patents, copyrights, or other intellectual property. Confidential Information is provided "AS IS" without warranties, including as to non-infringement.

7. Injunctive Relief

Violation may cause irreparable injury. The non-breaching Party may seek injunctive or equitable relief, plus damages. The prevailing Party in litigation is entitled to attorneys’ fees and costs.

8. Export Control

Each Party shall comply with applicable export control laws of South Korea, the United States, and other jurisdictions. Confidential Information may not be sold, exported, re-exported, or transferred in violation of such laws.

9. Governing Law

This Agreement is governed by the laws of South Korea.

10. Assignment

Neither Party may assign this Agreement without prior written consent. Unauthorized assignments are void.

11. Term and Termination

This Agreement is effective as of the Effective Date and continues for one (1) year. It may be terminated on thirty (30) days’ notice. Confidentiality obligations survive for three (3) years after expiration or termination (perpetual for trade secrets, technical specifications, pricing).

12. Entire Agreement

This Agreement constitutes the entire agreement regarding Confidential Information and supersedes prior agreements.
